European Branch Autumn Webinar Series 2022

We are delighted to announce the European Branch Autumn Webinar Series 2022.

In these series of 3 webinars spread over November and December, the European Branch Committee will gather together excellent speakers from across the globe to talk and provide you with insights on topical issues that are of concern to all in the tax industry.

Our first webinar took place on Friday 4 November 2022 on:
Cross border taxation: substance requirements and the Unshell directive proposal
with Yacine Bousraf, Marc Clercx, Rob Havenga chaired by Giovanni Rolle

Following the implementation of the ATAD directives and while the Comprehensive Framework measures (Pillar 1 and Pillar 2) are progressing, the EU has presented, on 22nd December 2021 a proposal for a directive (the “unshell” directive) laying down rules to prevent the misuse, for tax purposes, of shell entities, or undertakings that do not perform any actual economic activity. The aim of the webinar was to explore the provisions of the proposed directive in the light of the existing EU anti-avoidance framework and the national approach of some European jurisdictions in this matter. 

Our expert panel addressed the following topics:

  • The definition of “shell company” and the indicators of “minimum substance” as set forth by the proposed directive;
  • The derogations, exclusions and the rebuttal of presumptions; 
  • The disclosure obligations;
  • The tax implications in the hands of entities without a minimum substance;
  • The overlap with existing domestic and EU rules.

Our second webinar took place on Friday 18 November 2022 on:
How the tax systems affect economies world-wide
with Gottfried Schellmann

Gottfried focuses on the US Foreign Direct Investments in Europe and the effect of the principal concept within the transfer pricing formats – taking into account the effects of BEPS 7 – and the effects of the Tax Cut and Jobs Act. He also addressed the negative effects of the parent/subsidiary and royalty/interest Directives for net capital importers. The role of Germany, The Netherlands and Luxembourg as location for FDI Hubs. The negative effects for the southern countries in the single market concept. And at least, questioned the UK position as the most generous jurisdiction for FDI’s and public procurement and what lessons could be learned to think about its tax concept.
